Job summary

AmLaw 50 Firm in San Francisco seeks a Technology Transactions Associate Attorney with 3–6 years of IP and commercial transactions experience to join its premier practice. You will draft, negotiate, and structure complex IP and technology agreements for global clients, driving strategic IP diligence in M&A and financing deals.

The role requires a California Bar admission, top-tier JD, and strong writing and negotiation skills.

Qualifications

JD from a top-tier law school with excellent academic record.
California bar admission in good standing.
3–6 years of IP and commercial transactions experience in law firm setting.
Experience structuring, drafting, and negotiating IP and technology-related agreements.
Experience with IP aspects of M&A and equity financing.
Interest or experience with AI is advantageous.
Technical background preferred (science degree or tech field).

Responsibilities

Draft, review, and negotiate technology and IP agreements, including licensing, development, services, distribution, manufacturing, and collaborations.
Provide IP diligence and strategic counseling in connection with M&A, equity financing, E-commerce, media, and entertainment transactions.
Collaborate with internal corporate, litigation, and regulatory teams to address IP-related risks and strategy.
Advise clients on structuring commercial transactions that align with evolving business models and technology trends.
Work directly with clients to understand their business objectives and craft tailored legal solutions.
Contribute to team development, knowledge sharing, and client growth initiatives.
