Premier AmLaw 100 Firm in San Francisco seeks an experienced Corporate M&A Associate or Counsel to handle the full spectrum of deal activity, including buy-side and sell-side work, LBOs, minority investments, and Series B through pre-IPO financings. You will draft and negotiate purchase agreements, disclosure schedules, and ancillary documents, coordinating with clients and bankers throughout execution.

Qualifications

• JD from ABA-accredited law school and California bar admission.
• 3–7 years corporate transactional experience at a large law firm or top-tier boutique.
• Experience drafting and negotiating M&A transaction documents.
• Exposure to venture capital or private equity deal structures preferred.
• Strong analytical ability and exceptional written and verbal communication skills.

Responsibilities

• Draft and negotiate purchase agreements, disclosure schedules, and ancillary documents.
• Interface with clients, counterparties, and investment bankers throughout deal execution.
• Work on buy-side and sell-side M&A, leveraged buyouts, minority investments, and venture/PE financings.
