Qualifications

Responsibilities

• Advise private companies, founders, investors, and strategic buyers on a broad range of corporate transactions.
• Support and manage mergers & acquisitions, venture capital financings, growth equity investments, securities transactions, and governance matters.
• Draft and negotiate purchase agreements, financing documents, disclosure schedules, governance documents, and ancillary agreements.
• Conduct transactional due diligence and manage diligence workstreams.
• Coordinate transaction processes from structuring through closing.
• Advise emerging companies through all growth stages and collaborate with clients, management, investors, and outside advisors.
• Collaborate with attorneys across tax, employment, IP, privacy, and regulatory practices.

Corporate Associate (M&A, Venture Capital & Securities)

Our client, an Am Law 100 law firm, is seeking a Corporate Associate with 2-4 years of transactional experience to join its rapidly growing Corporate Practice in San Francisco.

This is an exceptional opportunity for an attorney interested in advising innovative companies, entrepreneurs, investors, and strategic acquirers across the technology, artificial intelligence, life sciences, financial services, and energy sectors. The successful candidate will gain hands-on experience handling sophisticated transactions while working directly with clients and senior attorneys in a highly collaborative environment.

Responsibilities

• Advise private companies, founders, investors, and strategic buyers on a broad range of corporate transactions
• Support and manage:
  • Mergers and acquisitions
  • Venture capital financings
  • Growth equity investments
  • Securities transactions
  • Corporate governance matters
• Draft and negotiate:
  • Purchase agreements
  • Financing documents
  • Disclosure schedules
