Job summary

Am Law 100 law firm in San Francisco seeks a Corporate Associate with 2–4 years of transactional experience to advise innovative companies, founders, investors, and strategic buyers across tech sectors. You will handle sophisticated M&A, VC financings, and securities matters in a collaborative environment.

Qualifications

• J.D. or LL.M. from ABA-accredited law school.
• Active California Bar admission or eligibility for admission.
• 2-4 years of transactional experience.
• Experience in M&A, Venture Capital, Securities, Growth Equity, or Private Equity is preferred.

Responsibilities

• Advise private companies, founders, investors, and strategic buyers on a broad range of corporate transactions.
• Support and manage mergers & acquisitions, venture capital financings, growth equity investments, securities transactions, and governance matters.
• Draft and negotiate purchase agreements, financing documents, disclosure schedules, governance documents, and ancillary agreements.
• Conduct transactional due diligence and manage diligence workstreams.
• Coordinate transaction processes from structuring through closing.
• Advise emerging companies through all growth stages and collaborate with clients, management, investors, and outside advisors.
• Collaborate with attorneys across tax, employment, IP, privacy, and regulatory practices.
