Permanent Placements LLC is seeking a Corporate M&A Associate with 3+ years of transactional experience to join its Corporate practice in Menlo Park or San Francisco. You will work on sophisticated mergers & acquisitions, private equity transactions, and other strategic corporate matters alongside senior dealmakers.

Ideal candidates have strong drafting, negotiation, and client-management skills, together with a proven track record in corporate governance and federal securities matters.

Qualifications

• J.D. from an accredited law school.
• Active bar admission in the applicable jurisdiction or eligibility for admission.
• 3+ years of corporate transactional experience, preferably at a mid-sized or large law firm.
• Experience with mergers & acquisitions, private equity transactions, corporate due diligence, and transaction management.
• Experience drafting and negotiating M&A transaction documents.
• Familiarity with corporate governance principles and federal securities laws.
• Excellent academic credentials.
• Strong analytical, drafting, negotiation, and communication skills.
• Ability to work in a collaborative, fast-paced environment.

Responsibilities

• Assist with a broad range of mergers & acquisitions and private equity transactions.
• Draft and negotiate transaction documents, including purchase agreements and ancillary deal documentation.
• Manage and coordinate corporate due diligence reviews.
• Support transaction structuring, negotiation, and execution.
• Coordinate deal teams and oversee complex transactions through closing.
• Advise clients on corporate governance matters.
• Assist with issues involving federal securities laws and related corporate matters.
• Work closely with partners, associates, clients, and specialists across multiple practice areas to successfully execute transactions.

The successful candidate will have meaningful responsibility, direct client interaction, and the opportunity to work alongside experienced dealmakers on high-profile transactions.

Responsibilities

• Assist with a broad range of mergers and acquisitions and private equity transactions
• Draft and negotiate transaction documents, including purchase agreements and ancillary deal documentation
• Manage and coordinate corporate due diligence reviews

Compensation & Benefits
