Job summary

Axon is seeking an experienced Assistant General Counsel, Corporate and M&A, to manage complex transactions, advise on securities compliance, and partner with the Board and executive team. Location includes Boston or NYC with a hybrid schedule.

You will oversee due diligence, draft and negotiate deal documents, and coordinate external counsel, supporting Axon’s growth and governance objectives.

Qualifications

• J.D. from an accredited institution with outstanding academic credentials.
• Admission to a State Bar within the United States.
• Minimum 5-7 years' experience working for a top tier law firm. In-house experience a plus.
• Demonstrated legal expertise in M&A, securities law and corporate governance.
• Extensive experience in managing complex M&A transactions, preferably within technology or financial services.
• Excellent writing, analytical, negotiation, communication, strategic thinking, and presentation skills.
• Strong understanding of corporate and securities laws, regulations, and industry standards.
• Demonstrated ability to work in a fast-paced, dynamic team environment.

Responsibilities

• Develop and implement the legal strategy for M&A activities in alignment with the company’s business and legal objectives.
• Advise the company on Securities laws and reporting requirements.
• Drive best-in-class corporate governance in partnership with the CLO, including direct engagement with Axon’s Board of Directors and its committees.
• Lead and coordinate comprehensive due diligence for potential M&A and capital markets transactions.
• Manage external legal counsel.
• Partner with Strategy & Corporate Development to advise the business and undertake complex M&A work.
• Prepare and present legal analyses and updates on M&A activities to the executive team and board of directors.
• Draft, review, and negotiate transaction documents—purchase agreements, term sheets, NDAs—ensuring legal compliance and robust protection of Axon's interests.
• Advise on and ensure compliance with securities laws.
• Liaise with regulatory authorities and manage filings or approvals.
• Provide post-merger integration legal support for contract assignments, employee transitions, and regulatory compliance.
• Other duties as assigned.
