An international AmLaw 50 firmis seeking a talentedAssociate Attorneyto join its leadingTechnology Transactions Practice Group. This is an exciting opportunity to work on high-impact intellectual property and commercial transactions for cutting-edge technology clients across the globe.

Candidate Profile

• JD from atop-tier law school with anexcellent academic record.
  • Coursework in IP, technology, and/or commercial law is required.
• 3–6 years of substantive experience withintellectual property(IP) andcommercial transactionsin alaw firm setting.
• Demonstrated experience structuring,drafting, andnegotiatingcomplexIP and technology-related agreements, including licensing, development, services, distribution, and strategic partnerships.
• Experience handling the IP aspects ofmergers and acquisitions(M&A) andequity financing transactions.
• Interest in, or experience with, artificial intelligence is advantageous.
• Technicalbackground strongly preferred.
  • Science Degree or experience working with technology (Computer Science, Computer Programming, Engineering, etc.)
• Ability to manage multiple deal streams in a fast-paced environment.
• Soft Skills: Excellent research, writing, analysis, and communication skills are essential, alongside a strong business acumen and meticulous attention to detail.

Key Responsibilities

• Draft, review, and negotiatea wide range oftechnology and IP agreements, includingsoftware, tech, and content licensing; software and technology development; professional services;supply & distribution; manufacturing; and collaborations.
• ProvideIP diligence and strategic counselingin connection withM&A,equity financing,E-commerce, media, and entertainment transactions.
• Collaborate with internal corporate, litigation, and regulatory teams to address IP-related risks and strategy.
• Advise clientsonstructuring commercial transactionsthat align with evolving business models and technology trends.
• Work directly with clients to understand their business objectives and craft tailored legal solutions.
• Contribute to team development, knowledge sharing, and client growth initiatives.

Competitive Salary: $260,000 – $365,000, commensurate with experience and class year.
