This mid-level role offers exposure to high-value agreements, cross-office collaboration, and meaningful client service. You will advise on licensing, due diligence, and strategic collaborations while partnering with corporate and M&A teams to protect valuable IP assets.

Qualifications

• Juris Doctor (J.D.) from an accredited law school.
• 3+ years of IP and technology transactions experience.
• Experience drafting, reviewing, or negotiating IP licensing agreements, technology contracts, or related commercial agreements.
• Strong transactional drafting, negotiation, analytical, and problem-solving skills.
• Ability to collaborate across offices, practice areas, and teams.
• Active New York bar admission preferred.

Responsibilities

• Advise clients on sophisticated IP and technology transactions across diverse industries.
• Draft, review, and negotiate IP licensing agreements, technology contracts, and other complex commercial agreements.
• Support IP matters arising from mergers, acquisitions, investments, and strategic business transactions.
• Assist with technology licensing, commercialization arrangements, and strategic collaborations.
• Conduct IP due diligence, evaluate transactional risks, and develop practical legal solutions.
• Collaborate with attorneys across corporate, M&A, technology, and other practice areas.
• Work closely with clients to understand business objectives and protect valuable IP assets.
