Ideal candidate has a JD from a top-tier law school, CA bar, 3–6 years IP and technology transactions, and experience structuring, drafting, and negotiating complex agreements, with a preference for a technical background.

Qualifications

• JD from a top-tier law school with excellent academic record.
• Active California Bar admission in good standing.
• 3–6 years of IP and commercial transactions experience in a law firm.
• Experience structuring, drafting, and negotiating IP and technology-related agreements.
• Experience handling IP aspects of M&A and equity financing.
• Interest in, or experience with, AI is advantageous.
• Technical background preferred (science/tech).
• Ability to manage multiple deal streams in a fast-paced environment.
• Strong research, writing, analysis, and communication skills with business acumen.

Responsibilities

• Draft, review, and negotiate a wide range of technology and IP agreements, including licensing, development, services, supply & distribution, manufacturing, and collaborations.
• Provide IP diligence and strategic counseling in connection with M&A, equity financing, E-commerce, media, and entertainment transactions.
• Collaborate with internal corporate, litigation, and regulatory teams to address IP-related risks and strategy.
• Advise clients on structuring commercial transactions that align with evolving business models and technology trends.
• Work directly with clients to understand their business objectives and craft tailored legal solutions.
• Contribute to team development, knowledge sharing, and client growth initiatives.

Candidate Profile

• JDfrom atop-tier law schoolwith anexcellent academic record.
  • Coursework in IP, technology, and/or commercial law is required.
• Active Bar Admissionin California, in good standing.
• 3–6 years of substantive experience withintellectual property(IP) andcommercial transactionsin alaw firm setting.
• Demonstrated experience structuring,drafting, andnegotiatingcomplexIP and technology-related agreements, including licensing, development, services, distribution, and strategic partnerships.
• Experience handling the IP aspects ofmergers and acquisitions(M&A) andequity financing transactions.
• Interest in, or experience with, artificial intelligence is advantageous.
• Technicalbackground strongly preferred.

Compensation & Benefits

• Competitive Salary: $260,000 – $365,000, commensurate with experience and class year.
