Job summary

Nebius, a cloud infrastructure company, is seeking a Technology Commercial Legal Counsel to join the Austin or New York team. You will draft, review, and negotiate a broad range of customer-facing and commercial agreements, and ensure privacy compliance across global regulations.

You will partner with Go-to-Market teams, support privacy program, and guide internal stakeholders on regional requirements while building scalable contract templates and processes for a fast-growing AI platform.

Qualifications

• Bar admission in the U.S., EU, or Israel.
• LL.B. or equivalent law degree from a top-tier university.
• Strong experience drafting and negotiating complex commercial and technology agreements, particularly Fortune 500 customer-facing contracts under pressure.
• 4-9 years of experience post internship/trainee program, practicing tech commercial and privacy law at both a leading law firm and as in-house counsel at a tech company.
• Strong experience in drafting and negotiating technology commercial agreements (including DPAs).
• Experience with SaaS AI companies.
• Experience with global privacy regulations (such as GDPR, CPRA, and U.S. state privacy laws).
• Experience with U.S. copyright and intellectual property laws.
• Attention to details and ability to work accurately under time pressure.

Responsibilities

• Own the drafting, review, and negotiation of a wide range of customer-facing and commercial agreements, including:
• Customer-related transactions, such as SaaS Agreements, Reseller Agreements, and Service Level Agreements.
• Act as the primary legal partner for Go-to-Market teams, providing practical, business-oriented advice throughout customer negotiations.
• Support and enhance Tavily’s privacy and data protection program, ensuring compliance with applicable regulations such as GDPR, CCPA, and other global standards.
• Review and negotiate DPAs and provide ongoing legal guidance on privacy matters.
• Procurement-related transactions with various vendors and partnership agreements.
• Drive complex, cross-border, and strategically important transactions involving multiple internal and external stakeholders.
• Advise internal stakeholders on local legal and regulatory considerations, translating regional requirements into practical guidance for global teams.
• Build and continuously improve regional contract templates, playbooks, legal processes, and guidance materials as the business scales.
