Job summary

GHJ, a national independent advisory, tax and accounting firm, seeks a TAS Manager to lead buy-side and sell-side financial due diligence engagements and guide clients through the transactional process. You will oversee associates and offshore teams, coordinate with investment bankers and strategic buyers, and deliver Quality of Earnings reports with detailed analysis.

Qualifications

• Bachelor’s level education required.
• Minimum 4 years professional services experience, with 3 in Transaction Advisory Services.
• Strong accounting and diligence knowledge.
• Exceptional analytical and communication (written and oral) skills required.
• CPA preferred but not required.
• High proficiency in Excel and PowerPoint, including pivot tables, lookups and related analyses.
• Experience working on multiple engagements and ability to prioritize/change priorities as needed.
• Up-to-date knowledge of technical principles in transactions and QOE projects.

Responsibilities

• Lead buy-side and sell-side financial due diligence engagements with privately held companies and their owners/operators, alongside investment bankers, private equity firms and strategic buyers.
• Lead management meetings and discussions with buyer/seller advisors, with support from associates, senior managers and partners.
• Guide clients through the diligence process, including working with associates to prepare discussion agenda and schedules.
• Advise clients on EBITDA adjustments and purchase agreement constructs.
• Identify critical accounting areas for a given transaction and validate or adjust as needed.
• Review operating and financial metrics and prepare analysis with charts and commentary.
• Prepare Quality of Earnings reports with background, accounting function and investor insights.
• Comment on balance sheet items, working capital drivers and debt analyses.
• Assist with closing estimates, post-closing calculations and related items.
• Manage projects, workloads and deliverables across engagements and oversee junior team members.
