Job summary

AMD is seeking a Strategic Transactions Paralegal in California to support the M&A function within the Corporate & Securities Legal team. The role focuses on strategic transactions, integration, and post‑closing activities, working with internal stakeholders and outside counsel to ensure timely, compliant completion.

Qualifications

• Bachelor’s degree or paralegal certification required.
• Experience supporting M&A transactions is preferred.
• Strong attention to detail and organizational skills.

Responsibilities

• Support M&A transactions, joint ventures, minority investments, acquihires, and other strategic transactions by maintaining deal checklists and data rooms, coordinating execution packages and closing activities, and tracking post-closing deliverables.
• Coordinate meetings, prepare agendas, distribute documents, and track action items for strategic projects.
• Route, track, and maintain transaction documents.
• Draft, review, and negotiate routine agreements with supervision.
• Prepare corporate entity documents and filings for acquired entities with Subsidiary Governance.
• Assist with regulatory filings (CFIUS, HSR, antitrust, and FDI) and help facilitate transaction approvals.
• Manage multiple projects independently and meet deadlines while protecting AMD’s interests.
• Support audits, compliance reviews, and risk management documentation.
• Prepare materials for executive review of transaction structures and risks.
• Coordinate with stakeholders across AMD (Accounting, Treasury, Tax, HR, Privacy, IP, Stock Administration, IT, Corporate Development, Real Estate, Investor Relations, Corporate Communications).
• Identify and implement improvements to legal, contract management, and transaction support processes.
• Monitor regulatory changes and communicate key updates.
• Coordinate with outside counsel to ensure deadlines are met.
