Qualifications

• Demonstrated corporate paralegal experience supporting M&A transactions, joint ventures, minority investments, acquihires, and other strategic transactions.
• Significant experience with due diligence, corporate governance, compliance, or post-closing integration.
• Exceptional attention to detail.
• Strong understanding of legal terminology, contract administration, and regulatory compliance.
• Excellent analytical, problem-solving, organizational, and project management skills.
• Strong written, verbal, and interpersonal communication skills.
• A commissioned notary public would be an asset.

Responsibilities

• Support M&A transactions, joint ventures, minority investments, acquihires, and other strategic transactions by maintaining deal checklists and data rooms, coordinating execution packages and closing activities, and tracking post-closing deliverables.
• Coordinate meetings, prepare agendas, distribute documents, and track action items for strategic projects.
• Route, track, and maintain transaction documents.
• Draft, review, negotiate routine agreements with supervision.
• Prepare corporate entity documents and filings for acquired entities with the Subsidiary Governance team.
• Assist with regulatory filings including CFIUS, HSR, merger-control, antitrust, and foreign direct investment filings.
• Manage multiple projects independently and meet deadlines under attorney supervision.
• Support audits, compliance reviews, risk management initiatives, and related documentation.
• Prepare materials for executive review of transaction structures and risks.
• Coordinate with stakeholders across AMD and ensure smooth transaction processes.
• Identify and implement improvements to legal, compliance, and contract management processes.
• Monitor regulatory changes and communicate key updates.
• Coordinate with outside counsel to meet transaction deadlines.
• Support other corporate matters as needed.
