THE ROLE:

AMD is seeking an Sr. Corporate Counsel, M&A to provide strategic legal support for mergers, acquisitions, divestitures, and other strategic business transactions. The role serves as a key legal advisor, partnering closely with Corporate Development and senior business leaders. The successful candidate will independently lead significant portions of transactions, identify legal and business risks early, negotiate transaction documents, and help drive post-acquisition legal integration. This role requires the confidence to engage with senior executives, communicate complex legal and business issues clearly, and build trusted relationships with leadership throughout the transaction lifecycle.

THE PERSON:

You are a pragmatic, business-minded lawyer with deep M&A and venture capital knowledge and a proven track record of managing complex transactions and drafting legal documents. You provide expert legal counsel, guiding internal clients through strategic transactions. You balance legal risk with business objectives, communicate clearly, and take ownership of ambiguous, time-sensitive matters. You are collaborative, direct, and humble, with the ability to improve processes and move work forward with urgency while protecting AMD's interests.

KEY RESPONSIBILITIES:

• Support all legal aspects of M&A, joint ventures, minority investments, acquihires, and other strategic transactions.
• Prepare, review, and negotiate transaction documents, including letters of intent, purchase agreements, and ancillary documents.
• Provide practical counsel on deal structuring, risk allocation, purchase price mechanics, rep and warranty insurance, indemnification, and other key transaction terms.
• Manage matters relating to AMD Ventures' investments and portfolio management.
• Coordinate due diligence reviews and work closely with subject‑matter experts and third‑party advisors.
• Prepare materials for executive review regarding deal structure and risks.
• Advise on regulatory matters (e.g. CIFIUS, HSR, and other merger control antitrust or foreign direct investment filings) and help facilitate regulatory approval processes for transactions.
• Provide legal support for post-closing legal integration matters.
• Analyze complex legal issues requiring the identification and evaluation of multiple factors.
• Coordinate actively with stakeholders across AMD including Accounting, Treasury, Tax, Human Resources, Privacy, IP, Stock Administration, IT, Corporate Development, Real Estate, Export Control, Government Relations, Investor Relations, and Corporate Communications.\Direct and manage external law firms to ensure transaction deadlines are met.
• Develop and maintain standardized processes, playbooks, and template documents that drive efficiency and best practices across M&A transactions and minority investments.
• Support other corporate matters as needed.

PREFERRED EXPERIENCE:

• Demonstrated experience handling sophisticated M&A and minority investments in a sophisticated in-house legal department, top-tier law firm, or a combination of both.
• A deep understanding of transaction structures, including joint ventures, minority investments, and acquihires.
• Experience with both domestic and cross-border transactions.
• Strong written and oral communication skills, including the ability to translate complex legal concepts into digestible, easy to use content for senior leaders and other non-legal teams.
• Excellent interpersonal and relationship-building skills, with the ability to align stakeholders, solve problems, and execute priorities in a fast-paced environment.
• Proven ability to take end-to-end ownership of complex projects and transactions, manage competing priorities, track deliverables, and drive timely execution independently.
• Strong business judgment, proactive issue-spotting skills, and the ability to identify and address legal and business risks before they become problems.
• Excellent organizational skills and exemplary attention to detail.
• High integrity, professionalism, sound ethics, and a commitment to continuous improvement.

ACADEMIC CREDENTIALS:

• Juris Doctor (JD) degree from an accredited law school.
• Active membership in good standing in at least one U.S. state bar.
