Responsibilities

• Advise on compliance with federal and state securities laws, including Exchange Act and Securities Act reporting, Nasdaq requirements, Regulation FD, insider trading, and Rule 10b5-1 plan administration.
• Oversee preparation and filing of SEC reports (10-K, 10-Q, 8-K), proxy statements, registrations, offerings, and Section 16 filings.
• Review earnings materials, investor communications, and public disclosures.
• Provide legal support for executive compensation and equity programs, including stock plan documentation.

Education

Juris Doctor (JD) degree

Active membership in good standing with a U.S. state bar
