Qualifications

• Extensive M&A and corporate transaction experience.
• Ability to translate complex legal concepts for senior leaders.
• Strong project management and cross-functional collaboration.

Responsibilities

• Support all legal aspects of M&A, joint ventures, minority investments, acquihires, and other strategic transactions.
• Prepare, review, and negotiate transaction documents, including LOIs and purchase agreements.
• Provide counsel on deal structuring, risk allocation, and key transaction terms.
• Manage AMD Ventures’ investments and portfolio matters.
• Coordinate due diligence with experts and advisers.
• Prepare materials for executive review on deal structure and risks.
• Advise on regulatory matters (e.g., CFIUS, HSR, antitrust filings) and secure approvals.
• Provide post-closing integration support.
• Analyze complex legal issues with multi-factor evaluation.
• Collaborate with cross-functional stakeholders and manage external law firms.
