Crusoe is seeking a talented attorney to join its Legal team as Director, Legal Counsel, Corporate & Securities. This role supports governance, securities compliance, and investor reporting, partnering with Finance, Accounting, IR, and HR to enable rapid growth at Crusoe.

You will lead governance materials, disclosures, and capital markets transactions with a pragmatic, in-house mindset and a focus on accuracy and scalability.

Qualifications

• JD from an accredited law school and active bar membership in at least one U.S. state.
• 4–7 years of corporate and securities experience at a top-tier law firm or in-house.
• Expertise in board/governance, disclosure obligations, and insider trading compliance.
• Knowledge of capital markets transactions and private placements.

Responsibilities

• Lead Board & governance materials, agendas, minutes, and resolutions.
• Oversee securities disclosures and investor reporting.
• Ensure internal controls and information governance for securities matters.
• Provide cross-coverage for Capital Markets and assist with transactional diligence and closing.
• Partner with Finance, Accounting, Investor Relations, and HR on corporate matters.
