Trustpoint.One, partnering with a top Am Law 100 firm, seeks an experienced Corporate Transactions & Business Transformation Attorney for a contract-to-potential-hire role in Chicago. The ideal candidate has 3+ years advising on complex corporate transactions and transformation initiatives, with strong drafting, negotiation, and due-diligence skills.

The role is hybrid and requires onsite work 3 days per week in Chicago, IL. Candidates should have a J.D.

Qualifications

• J.D. from an accredited law school and active bar membership.
• 3+ years of experience in corporate law, preferably with a law firm, in-house legal department, or a combination of both.
• Demonstrated experience with mergers and acquisitions, corporate governance, commercial contracting, and legal due diligence.
• Strong understanding of the legal and business issues that accompany large-scale business transformation initiatives.
• Excellent drafting, negotiation, and analytical skills.
• Ability to manage multiple priorities and collaborate effectively with business and legal stakeholders.
• Role is hybrid in nature. Must be willing to work onsite 3 days per week in Chicago, Illinois.

Responsibilities

• Advise business stakeholders on a broad range of corporate transactions and transformation initiatives.
• Support mergers, acquisitions, divestitures, integrations, and other strategic transactions.
• Draft, review, and negotiate commercial agreements and transaction-related documentation.
• Conduct and manage legal due diligence for corporate transactions.
• Counsel on corporate governance matters and regulatory compliance considerations.
• Partner with cross-functional teams to identify and mitigate legal risks associated with business transformations, including operating model changes, integrations, restructurings, and spinoffs.
• Provide practical, business-oriented legal advice in a fast-paced, global environment.
