Job summary

AmLaw 100 Opportunity in Chicago seeks a Corporate Transactions & Capital Markets Associate Attorney to join its Chicago office. The role focuses on representing public and private companies, PE sponsors, investment banks, and market participants in sophisticated corporate matters.

Ideal candidates have 3–6 years in corporate transactions, with strong drafting and negotiation skills, and must hold a J.D. from an ABA-accredited law school and Illinois bar admission (or eligibility).

Qualifications

• 3–6 years of corporate transactional and/or capital markets experience.
• Experience with capital markets transactions, mergers & acquisitions, securities offerings, and general corporate matters.
• Experience representing issuers, underwriters, private equity sponsors, or public companies preferred.
• Experience advising on public and private securities offerings, SEC reporting obligations, and governance matters.
• Experience drafting and negotiating purchase agreements, underwriting agreements, registration statements, disclosure documents, and other documents.
• Experience with Forms 10-K, 10-Q, 8-K and proxy statements is a plus.
• Strong drafting, negotiation, analytical, and communication skills.

Responsibilities

• Represent issuers, underwriters, private equity sponsors, or public companies in corporate transactions.
• Draft and negotiate purchase agreements, underwriting agreements, and registration statements.
• Advise clients on SEC filings and corporate governance matters.
• Manage transactions and interact directly with clients.

$235,000 – $420,000+

A leading international law firm is seeking a Corporate Transactions & Capital Markets Associate Attorney to join its Chicago office.

This opportunity is ideal for an attorney interested in representing public and private companies, private equity sponsors, investment banks, and other market participants in sophisticated corporate transactions and capital markets matters.

Ideal Background

• 3–6 years of corporate transactional and/or capital markets experience
• Experience with capital markets transactions, mergers & acquisitions, securities offerings, and general corporate matters
• Experience representing issuers, underwriters, private equity sponsors, or public companies preferred
• Experience advising clients on public and private securities offerings, SEC reporting obligations, and corporate governance matters
• Experience drafting and negotiating purchase agreements, underwriting agreements, registration statements, disclosure documents, and other transaction documents
• Experience with public company reporting, including Forms 10-K, 10-Q, 8-K, proxy statements, and other SEC filings, is a plus
• Strong drafting, negotiation, analytical, and communication skills
• Ability to manage transactions and work directly with clients
• Excellent academic credentials
• J.D. from an ABA-accredited law school required
