Corporate Transactions & Business Transformation Attorney

Am Law 100 Firm | Contract-to-Potential-Hire Opportunity

Trustpoint.One is partnering with a top Am Law 100 firm to identify an experienced attorney for a contract-to-potential-hire opportunity supporting a sophisticated corporate legal team.

This role is ideal for an attorney with more than three years of experience advising on complex corporate transactions and strategic business transformation initiatives. The successful candidate will bring strong transactional skills, sound business judgment, and the ability to navigate legal issues that arise during significant organizational change.

Key Responsibilities

• Advise business stakeholders on a broad range of corporate transactions and transformation initiatives.
• Support mergers, acquisitions, divestitures, integrations, and other strategic transactions.
• Draft, review, and negotiate commercial agreements and transaction-related documentation.
• Conduct and manage legal due diligence for corporate transactions.
• Counsel on corporate governance matters and regulatory compliance considerations.
• Partner with cross-functional teams to identify and mitigate legal risks associated with business transformations, including operating model changes, integrations, restructurings, and spinoffs.
• Provide practical, business-oriented legal advice in a fast-paced, global environment.

Qualifications

• J.D. from an accredited law school and active bar membership in good standing.
• 3+ years of experience in corporate law, preferably with a law firm, in-house legal department, or a combination of both.
• Demonstrated experience with mergers and acquisitions, corporate governance, commercial contracting, and legal due diligence.
• Strong understanding of the legal and business issues that accompany large-scale business transformation initiatives.
• Excellent drafting, negotiation, and analytical skills.
• Ability to manage multiple priorities and collaborate effectively with business and legal stakeholders.
• Role is hybrid in nature. Must be willing to work onsite 3 days per week in Austin, Texas
