Job summary

Trustpoint.One represents a premier Am Law 100 firm seeking a Corporate Transactions & Business Transformation Attorney for a contract-to-potential-hire role in Houston. The ideal candidate has 3+ years handling complex corporate transactions and transformational initiatives.

You will advise on mergers, divestitures, integrations, commercial agreements, and due diligence, working closely with stakeholders in a fast-paced, global environment. Hybrid work requires onsite presence three days a week.

Qualifications

• 3+ years of experience in corporate law, preferably with a law firm or in-house
• Experience handling mergers & acquisitions, corporate governance, and commercial contracting
• Strong drafting, negotiation, and analytical skills
• Ability to manage multiple priorities and collaborate with business and legal stakeholders

Responsibilities

• Advise stakeholders on corporate transactions and transformation initiatives
• Support mergers, acquisitions, divestitures, integrations, and other strategic transactions
• Draft, review, and negotiate commercial agreements and related documents
• Conduct and manage legal due diligence for corporate transactions
• Counsel on governance and regulatory compliance matters
• Partner with cross-functional teams to identify and mitigate legal risks in transformations
