Boyd Gaming Corporation seeks a highly organized Paralegal – Corporate Governance and SEC to support the Vice President Legal and Assistant Corporate Secretary. The role focuses on SEC reporting, governance, and subsidiary management in a fast-paced public company environment.

Formación

• Bachelor’s degree or paralegal certification; equivalent experience accepted.
• 5+ years of paralegal experience supporting a public company or securities practice.
• Experience with SEC filings and public company reporting is required.
• Experience supporting Board of Directors and Committee processes is preferred.
• Experience with EDGAR, Diligent, Section16 filing platforms, or similar tools.

Responsabilidades

• Lead SEC reporting responsibilities, including Forms 3, 4, and 5, and maintain insider reporting records.
• Assist with proxy statements and SEC periodic reports.
• Support disclosure schedules and documentation for SEC filings.
• Maintain proxy statement filing calendar and regulatory deadlines.
• Coordinate materials for Board and Committee meetings and manage corporate records.
• Assist with onboarding of directors and officers and related records.
• Support with signature processes and confidential document management.
