Job summary

ACCO Brands is seeking a Paralegal with strong governance and securities knowledge to support the attorney responsible for governance, securities, and employment law. You will manage Board materials, corporate records, and filings, interfacing with Mercator, local counsel, and internal teams in a fast-paced public company setting.

The role requires meticulous attention to detail, discretion, and the ability to manage multiple priorities.

Qualifications

• Juris Doctor or Paralegal Degree required.
• 5+ years of legal/paralegal, corporate legal, governance, securities or legal ops experience preferred.
• Experience supporting public company governance, board processes, SEC filings, proxy season, insider reporting, or corporate records preferred.
• Experience supporting board and committee materials, corporate records, entity management, officer/director records, and related docs preferred.
• Experience assisting with SEC filings, disclosure calendars, Section 16 reporting, insider lists, proxy materials, or public company reporting processes preferred.
• Experience supporting employment law matters, investigations, HR policies, and employee relations documentation preferred.
• Strong ability to organize contracts, legal files, and matter trackers with accuracy and urgency.

Responsibilities

• Prepare board and committee materials, agendas, and records.
• Manage governance calendars, director questionnaires, and related documentation.
• Draft and assist with corporate documents, POAs, and registrations.
• Oversee global legal entities and ensure accurate records and filings.
• Support SEC filings and governance disclosures, including 10-K/10-Q/8-K filings.
• Coordinate with internal teams and outside counsel on governance matters.
• Maintain matter files, trackers, and budgets; assist with document management.
