Job summary

North American Management is seeking a Corporate Attorney to provide dedicated legal support to client organizations within its portfolio. The role partners with executive leadership to guide contracts, governance, risk mitigation, and strategic initiatives.

Ideal candidates bring 5+ years in corporate law, a business mindset, and experience with contracting, board documentation, and M&A exposure. Hybrid work in multiple locations supports collaboration with operations and growth objectives.

Qualifications

• 5+ years practicing corporate law.
• Strong contract drafting, review, and negotiation.
• Corporate governance experience.
• Entity management and board documentation.
• Vendor, subcontractor, and commercial agreements.
• Risk mitigation/legal review of business operations.
• M&A exposure preferred.
• Experience supporting construction, real estate, engineering, or manufacturing industries is a strong plus.

Responsibilities

• Draft, review, negotiate, and manage commercial agreements including vendor, purchasing, professional services, NDAs, and construction-related agreements.
• Provide practical legal guidance on contracting strategies, interpretation, and management.
• Identify legal and business risks and propose solutions aligned with operational objectives.
• Support governance matters including organizational documentation and entity maintenance.
• Assist with board resolutions, corporate records, and governance documentation.
• Advise internal stakeholders on legal risk, policy interpretation, and business transactions.
• Support due diligence for acquisitions, mergers, restructures, or strategic partnerships.
• Coordinate with external counsel when specialized legal expertise is required.
• Identify legal risks across contracts, operations, and business activities and propose practical solutions.
