Job summary

North American Management, LLC is seeking a seasoned corporate transactional attorney to serve as the dedicated legal partner to a group of privately held companies, working directly with owners and executives on contracts, governance, deals, and risk. Base salary is $175,000–$225,000, plus an annual performance bonus, with remote, hybrid, or in-office options.

Requirements include 5+ years of corporate or commercial transactional experience, a J.D.

Qualifications

• J.D. and an active law license in good standing in at least one U.S. jurisdiction.
• 5+ years of corporate or commercial transactional experience at a law firm, in-house, or both.
• Strong contract drafting and negotiation skills.
• Comfort advising non-lawyer executives and giving clear, practical answers.

Responsibilities

• Draft, review, and negotiate commercial agreements: vendor and purchasing agreements, professional services agreements, NDAs, and construction and development agreements.
• Manage entity formation and maintenance, operating agreements, board and member resolutions, and corporate records across a multi-entity portfolio.
• Support acquisitions, dispositions, restructurings, and joint ventures, including due diligence and closing documents; manage outside counsel.

Base Salary: $175,000 – $225,000, plus annual performance bonus

Location: Remote, hybrid, or in-office. Fully remote work is available for candidates whose experience supports working independently; the arrangement will be finalized with the selected candidate. Offices in Murray, UT; Austin, TX; and Frederick, MD.

What You’ll Do

Contracts & Commercial Agreements (core of the role)

• Draft, review, and negotiate commercial agreements: vendor and purchasing agreements, professional services agreements, NDAs, and construction and development agreements (owner, subcontract, and design agreements).
• Give practical advice on negotiation strategy and contract risk, and build templates and playbooks that speed up routine deals.

Corporate Governance & Entities

• Manage entity formation and maintenance, operating agreements, board and member resolutions, and corporate records across a multi-entity portfolio.

Deals & Strategic Projects

• Support acquisitions, dispositions, restructurings, and joint ventures, including due diligence and closing documents.
• Manage outside counsel on litigation and specialized matters.

Risk & Compliance

• Spot legal risk in operations and recommend business-friendly solutions.
• Participate in insurance renewals and monitor insurance and certificate compliance.
• Help develop internal policies and process improvements.

What You Bring

Required

• J.D. and an active law license in good standing in at least one U.S. jurisdiction, with eligibility to register or practice as in-house counsel where you reside.
• 5+ years of corporate or commercial transactional experience at a law firm, in-house, or both.
• Strong contract drafting and negotiation skills.
• Comfort advising non-lawyer executives and giving clear, practical answers.

Nice to Have

• Construction, real estate, engineering, or manufacturing industry experience (not required; we’ll teach the industry).
• M&A or private-company deal experience.
• Experience with entity management for multi-entity groups.
