North American Management seeks a senior lawyer for a pivotal role handling commercial contracts, governance, and strategic deals. You will partner directly with owners and executives, drafting and negotiating agreements while guiding risk and compliance across multiple entities.

The position offers remote, hybrid, or in-office options, with a base salary of $175,000–$225,000 plus annual bonus and a comprehensive benefits package. Five plus years of transactional experience are required.

Qualifications

• J.D. and a license to practice in at least one U.S. jurisdiction, with eligibility for in-house status.

Responsabilités

• Draft, review, and negotiate commercial agreements including vendor, purchasing, NDAs, and construction/ development contracts.
• Manage corporate governance tasks: entity formation, operating agreements, board and member resolutions, corporate records.
• Support acquisitions, dispositions, restructurings, and joint ventures, with due diligence and closing docs.
• Manage outside counsel on litigation and specialized matters and oversee risk.
