Job summary

North American Management is seeking a Corporate Attorney to provide dedicated legal support to client organizations within its portfolio. This role partners with executive leadership to guide contracts, governance, risk mitigation, and strategic initiatives to help drive growth.

The ideal candidate has 5+ years of corporate law experience, a business-minded approach, and a collaborative mindset for working with operational leaders across construction, real estate, and manufacturing clients.

Qualifications

• 5+ years practicing corporate law.
• Strong contract drafting, review, and negotiation.
• Corporate governance experience.
• Entity management and board documentation.
• Vendor, subcontractor, and commercial agreements.
• Risk mitigation and legal risk review of business operations.
• M&A exposure preferred.
• Experience supporting construction, real estate, engineering, or manufacturing industries is a strong plus.

Responsibilities

• Draft, review, negotiate, and manage vendor, purchasing, professional services, NDAs, and development-related agreements.
• Provide practical legal guidance on contracting strategies and risk management.
• Support corporate governance matters, including entity maintenance and board documentation.
• Advise executives on business initiatives, policy interpretation, and risk.
• Support due diligence for acquisitions, mergers, restructures, or partnerships.
• Coordinate with external counsel when specialized legal expertise is required.
