Job summary

Brex is seeking a Commercial Counsel to support all aspects of the company’s commercial legal efforts. You will handle contract review and negotiation for customer and vendor agreements, working with sales, ops, procurement, and privacy teams to close deals while protecting Brex’s interests.

You will contribute to the development of internal policies and contracting workflows, including AI contracting tools and CLM processes, ensuring risk mitigation and business alignment.

Qualifications

• 3–5 years of commercial law experience, in-house at a technology company or in the tech transactions department of a law firm.
• JD and active bar membership in good standing.
• Entrepreneurial mindset and ability to thrive in a fast-paced environment.

Responsibilities

• Draft, review, and negotiate customer agreements in partnership with sales and other stakeholders.
• Support review/negotiation of inbound commercial contracts including AI, SaaS, and technology agreements.
• Develop and refine contracting playbooks, internal policies, and CLM workflows using AI tools.
• Identify contractual risks and escalate complex issues to SMEs and senior legal team members.
• Provide business-oriented legal advice on contract terms, deal structures, and commercial risks.
• Collaborate with cross-functional partners to translate business needs into clear terms.
