Job summary

Brex is seeking a Commercial Counsel to join our Legal team in San Francisco. You will handle legal review and negotiation of Brex customer contracts, working closely with sales and revenue-supporting teams to close deals efficiently while protecting the Company's interests.

You will also support vendor and partner contracting, negotiate a range of agreements, and provide pragmatic legal advice to cross-functional partners across deal desk, operations, privacy, security, marketing, and people.

Qualifications

  • 3–5 years of relevant commercial law experience, preferably in-house at a tech company.
  • JD degree and active bar membership in good standing.
  • Experience at fast-paced growing technology companies is a plus.

Responsibilities

  • Draft, review, and negotiate customer agreements in partnership with sales and other stakeholders.
  • Support the legal review and negotiation of AI, SaaS, and other technology contracts, master and professional services agreements, consulting, marketing, agency, and media contracts, event agreements, and NDAs.
  • Drive continuous improvement in contracting processes, including playbooks, internal policies, procedures, and CLM workflows (including AI tools).
  • Identify and mitigate contractual risks within established parameters; escalate complex issues to SMEs and senior team members as needed.
  • Provide business-oriented legal advice on contract terms, deal structures, and commercial legal risks.
  • Collaborate with internal stakeholders to translate business, operations and product needs into clear legal terms.

What you'll do

As Commercial Counsel at Brex, you will be an integral and versatile member of the Legal team and will support all aspects of the Company's commercial legal efforts. You will handle legal review and negotiation of Brex customer contracts, working closely with sales and other revenue-supporting teams to close deals efficiently while protecting the Company's interests. You'll also support vendor and partner contracting, negotiating a range of contracts that serve teams and departments across Brex. You will advise on legal issues that intersect with commercial matters, and collaborate with a wide range of cross-functional partners, including deal desk, ops, procurement, privacy, security, marketing, and people. You will contribute to the development and implementation of commercial legal resources and processes, including internal policies and procedures and contracting workflows. You'll provide sound and pragmatic legal advice and take a business-oriented approach to problem solving!


Responsibilities

  • Draft, review, and negotiate customer agreements, from initial legal review through final signature, in partnership with sales, deal desk, and other stakeholders.

  • Support the legal review and negotiation of a wide variety of inbound commercial contracts, including AI, SaaS, and other technology agreements, master and professional services agreements, consulting agreements, marketing, agency, and media contracts, event agreements, and non-disclosure agreements.

  • Drive continuous improvement in commercial contracting processes, including developing and refining contracting playbooks, internal policies and procedures, and leveraging and optimizing AI contracting tools and contract lifecycle management (CLM) workflows.

  • Identify and mitigate contractual risks within established parameters, escalating complex issues to SMEs and senior legal team members as needed.

  • Provide sound, business-oriented legal advice to cross-functional partners on contract terms, deal structures, and commercial legal risks and opportunities.

  • Collaborate closely with internal stakeholders to understand business needs, contextualize transactions, and translate business, operational and product requirements into clear legal terms and conditions.

Requirements

  • Minimum of 3-5 years of relevant experience practicing commercial law, either in-house at a technology company or within the corporate/tech transactions department of a reputable law firm. Experience at fast-paced growing technology companies is preferred.
