Qualifications

5+ years' experience in M&A legal, underwriting, corporate finance or other relevant business.
Strong negotiating skills.
Knowledge of transactional legal exposures (warranty breaches, tax structuring issues, litigation and damages).
Understanding financial statements, due diligence materials, and presentations to clients.
Ability to present to brokers, regional offices, legal advisors, clients and others.

Responsibilities

Conduct background research on transaction parties and industries.
Review and understand transaction documents and risk.
Analyze and assess risk per product line policies.
Prepare and negotiate non-binding indication letters, policies, and binder agreements.
Interact with clients, brokers, lawyers and deal professionals.
Lead underwriting conference calls and manage process with outside counsel.
