Job summary

UL Solutions seeks a practical Senior Counsel to lead technology procurement transactions across software, cloud, data and AI tools. You will partner with Sourcing, IT, Cybersecurity and Privacy, guiding deals from intake to signature and enabling post-signature execution.

This hybrid role requires three days/week in an UL Solutions office, with Northbrook, IL preferred. Candidates near Chicago or Austin may be considered.

Qualifications

• JD from an accredited law school and active state bar membership in good standing.
• Significant experience advising on inbound technology procurement or technology transactions.
• Strong experience negotiating technology agreements involving SaaS, cloud services, AI tools, data licensing, and IT services.
• Demonstrated ability to collaborate cross-functionally with Procurement, IT, Cybersecurity, and Privacy teams.
• Excellent judgment, communication skills, and ability to manage complex priorities in a fast-paced environment.

Responsibilities

• Lead inbound technology transactions end-to-end—from intake and RFP review through negotiation and signature.
• Structure and negotiate complex managed services and outsourcing agreements, including master agreements and SOWs.
• Negotiate data protection, incident response, security addenda, and related provisions.
• Stay current on privacy, cybersecurity, and AI developments and update templates and playbooks.
• Partner with Procurement and IT to assess vendor risk and advise on governance models.
