Job summary

Zinnia, a leading technology platform for life and annuities, seeks a licensed U.S. attorney to draft and negotiate complex commercial agreements across SaaS, licensing, services, and insurance TPA contracts. You will oversee pricing, data protection, IP provisions, and post-signature matters, partnering with Sales, Finance, Product, and Ops.

You should have a J.D. with active bar admission and at least 5 years of relevant experience, plus strong writing and cross-functional collaboration

Qualifications

• J.D. and active membership in good standing with at least one U.S. state bar.
• 5+ years of drafting and negotiating complex commercial agreements.
• Strong background in tech transactions—SaaS, licensing, implementation, services, data protection.

Responsibilities

• Draft, review, and negotiate commercial agreements — SaaS, licensing, professional services, implementation, support, and insurance TPA agreements.
• Handle lifecycle matters: pricing, SLAs, data protection, IP, indemnification, liability, termination, regulatory terms.
• Manage post-signature matters: amendments, renewals, disputes.
• Build templates, playbooks, and approval workflows to speed contracting.
