Job summary

Zinnia seeks an experienced contracts attorney to evaluate and negotiate complex commercial agreements across SaaS, licensing, professional services, and insurance TPA terms. You will partner with Sales, Finance, Product, and Compliance to align legal risk with business goals.

Your work includes drafting templates, playbooks, and workflow improvements, managing post-signature matters, and guiding negotiations from first draft to signature in a fast-paced tech and regulated environment.

Qualifications

• J.D. and active membership in good standing with at least one U.S. state bar.
• 5+ years of relevant experience drafting and negotiating complex commercial agreements.
• Strong background in tech transactions — SaaS, licensing, implementation, professional services, support, data protection, and information security terms.
• Experience in insurance, financial services, TPA, or another regulated industry is strongly preferred.
• A track record of running negotiations independently, from first draft to signature.

Responsibilities

• Draft, review, and negotiate commercial agreements — SaaS, licensing, professional services, implementation, support, and insurance TPA agreements.
• Lead negotiations with customers, vendors, and strategic partners.
• Manage full lifecycle: pricing, service levels, data protection, IP, indemnification, limitation of liability, termination rights, and regulatory terms.
• Manage post-signature matters — interpretation, amendments, renewals, and disputes.
• Develop templates, playbooks, and approval workflows to speed contracting.
• Serve as go-to legal partner for Sales, Finance, Product, Technology, Operations, InfoSec, Privacy, and Compliance.
• Spot legal and commercial risk early and propose practical path forward.
