Job summary

Zinnia seeks a senior contracts attorney to draft, review, and negotiate SaaS, licensing, and professional services agreements, including insurance TPA terms. You will partner with Sales, Finance, Product, Technology, Operations, InfoSec, Privacy, and Compliance across the contract lifecycle.

You’ll spot legal and commercial risk early and explain it in plain language, balancing risk with commercial realities while collaborating on broader initiatives and special projects.

Qualifications

• J.D. and active membership in good standing with at least one U.S. state bar.
• 5+ years of relevant experience in law firms or in-house with drafting and negotiating complex commercial agreements.
• Strong background in tech transactions (SaaS, licensing, implementation, professional services, data protection, information security).
• Experience in insurance, financial services, TPA, or another regulated industry is strongly preferred.

Responsibilities

• Draft, review, and negotiate commercial agreements (SaaS, licensing, professional services, implementation, support, insurance TPA).
• Lead negotiations with customers, vendors, and strategic partners.
• Manage lifecycle elements: pricing, SLAs, data protection, IP, indemnification, liability limits, termination, regulatory terms.
