The role offers exposure to the Board and senior leadership, requiring strong drafting, negotiation and project management skills and a disciplined, confidential approach to sensitive matters.

Qualifications

• Juris Doctor degree from an accredited law school.
• Active membership in good standing in at least one U.S. state bar (Texas preferred).
• Typically 3+ years of relevant corporate and securities experience at a leading law firm or public company.
• Strong drafting, negotiation, analytical and issue-spotting skills with the ability to translate complex requirements into practical advice.
• Excellent written and verbal communication skills and ability to work with directors, senior leaders, internal clients and outside counsel.
• Strong organizational and project management skills with the ability to prioritize competing matters and meet deadlines.

Responsibilities

• Support preparation, review and filing of periodic and current SEC reports (10-K, 10-Q, 8-K) and related documents.
• Advise on disclosure requirements and materiality for corporate, financing and governance matters; assist with investor materials.
• Monitor and advise on Securities Act/Exchange Act rules and listing standards; help implement new requirements.
• Coordinate materials for Board and committee meetings; assist with governance policies and records maintenance.
