Transamerica Corporation seeks a Senior Counsel – Securities to join Corporate Legal Services as a key legal partner for public company reporting, securities compliance, and capital markets activities. You will draft, coordinate, and file SEC disclosures while advising on SEC and NYSE requirements.

Ideal candidate has significant SEC experience, strong judgment, and ability to collaborate across stakeholders in a fast-paced environment. Hybrid work is available with competitive compensation.

Qualifikationen

• JD from an ABA accredited law school.
• Five years of relevant legal experience in securities law and SEC reporting.
• Licensed or eligible to practice in the applicable state.
• Ability to communicate clearly and exercise sound judgment.
• Adaptability in a fast-paced corporate environment.

Aufgaben

• Support preparation, review and filing of SEC filings (10-K, 10-Q, 8-K, proxy statements, etc.).
• Review earnings and investor communications materials.
• Monitor securities laws and NYSE requirements.
• Oversee Section 16 and insider trading compliance processes.
• Lead or participate in cross-functional working groups and special projects.
