Qualifications
- Minimum of 8 years of law firm experience in employee benefits and executive compensation.
- Significant experience in counseling on benefits and compensation in corporate transactions.
Responsibilities
- Provide counsel on benefits and compensation issues in mergers, acquisitions, and divestitures.
- Research tax and ERISA issues affecting retirement, welfare, and fringe benefit plans.
- Review statutory and regulatory changes and advise clients on compliance strategies.
- Assist with due diligence, purchase agreement review, and benefits integration in corporate transactions.
- Draft employment agreements and incentive arrangements.
- Complete IRS and Department of Labor correction program filings.
- Consult on ESOP transactions and ongoing administration.
- Advise on Code Section 409A compliance.
