Qualifications

• 8+ years of law firm experience in employee benefits and executive compensation.
• Experience in mergers, acquisitions, and divestitures.
• JD required; bar admission.
• Strong research and analytical capabilities, with drafting of legal documents.

Responsibilities

• Research tax and ERISA issues affecting retirement, welfare, and fringe benefit plans.
• Review statutory and regulatory changes and advise clients on compliance strategies.
• Assist with due diligence, purchase agreement review, and benefits integration in corporate transactions.
• Draft employment agreements and incentive arrangements.
• Complete IRS and Department of Labor correction program filings.
• Counsel on ESOP transactions and ongoing administration.
• Advise on Code Section 409A compliance.
