Job summary

BCG Attorney Search in Minneapolis, MN seeks an experienced Employee Benefits and Executive Compensation Attorney. The ideal candidate will have at least 8 years of law firm experience, with flexibility in title and hours. Remote work options are available.

The attorney will counsel on benefits and compensation in mergers, acquisitions, and divestitures, review ERISA and tax issues, and assist with due diligence, agreement review, and benefits integration. Expertise in Code 409A is preferred.

Qualifications

8+ years of law firm experience in employee benefits and executive compensation.
Experience counseling on benefits and compensation in mergers & acquisitions.
Bar admission in the relevant jurisdiction.

Responsibilities

Provide counsel on benefits and compensation issues in mergers, acquisitions, and divestitures.
Research tax and ERISA issues affecting retirement, welfare, and fringe benefit plans.
Review statutory and regulatory changes and advise on compliance strategies.
Assist with due diligence, purchase agreement review, and benefits integration.
Draft employment agreements and incentive arrangements.
Complete IRS and Department of Labor correction program filings.
Counsel on ESOP transactions and ongoing administration.
Advise on Code Section 409A compliance.
