You will counsel on ERISA, 409A, ESOPs, and compensation arrangements, review agreements, support due diligence, and draft employment documents.

Qualifications

• Minimum of 8 years of law firm experience.
• Significant experience in employee benefits and executive compensation counseling.
• JD degree required; Bar admission in relevant jurisdiction.

Responsibilities

• Provide counsel on benefits and compensation issues in mergers, acquisitions, and divestitures.
• Research tax and ERISA issues affecting retirement, welfare, and fringe benefit plans.
• Review statutory and regulatory changes and advise on compliance strategies.
• Assist with due diligence, purchase agreement review, and benefits integration in corporate transactions.
• Draft employment agreements and incentive arrangements.
• Complete IRS and Department of Labor correction program filings.
• Counsel on ESOP transactions and ongoing administration.
• Advise on Code Section 409A compliance.
