Fifth Third Bank in Cincinnati, Ohio seeks a Senior Legal Counsel – Bank Real Estate to support Enterprise Workplace Services across the real estate lifecycle, including ground leases, leases, acquisitions, dispositions and related matters. You will draft and negotiate complex documents, advise senior management on risk, manage outside counsel, and ensure compliance with banking regulations.

A J.D., bar admission and 5+ years of real estate experience are required.

Qualifications

• Minimum 5 years' experience preferred.
• J.D. from an accredited law school required.
• Admission to a state bar.
• Exceptional organizational and written and verbal communication skills.
• Ability to advise and communicate effectively with senior management and a variety of internal clients.
• Strong drafting, negotiation, research, analytical, and problem-solving skills, with the ability to identify, assess, and resolve legal, operational, and property-level risks in complex real estate matters.

Responsibilities

• Provide legal support to EWS across the real estate lifecycle, including ground leases, acquisitions and dispositions, office leases, and ATM leases.
• Draft, review, and negotiate complex ground leases and related documents, work letters, and related instruments; advise on risk terms and ownership of improvements.
• Draft, review, and negotiate purchase and sale agreements and related acquisition/documents.
• Draft, review, and negotiate office and retail leases, amendments, renewals, ATM leases and licenses, and related documents.
• Interpret real estate agreements and advise on operational, construction, and property-level matters.
• Collaborate with EWS stakeholders on branch acquisitions, dispositions, relocations, closures, renovations, and integration projects.
• Provide practical, solutions-oriented legal advice to business partners and stakeholders.
• Manage outside counsel and high-volume transactions with accountability for deadlines.
