Job summary

Evolv Technology in Waltham, MA is seeking a Senior Corporate Counsel to build our FED/SLED and education contracting function while also handling select commercial deals. You’ll collaborate with sales, compliance, and leadership to shape scalable public sector contracting programs and policies.

The role requires a J.D., active bar, 6+ years of experience in government contracting and commercial law, and strong drafting and negotiation skills.

Qualifications

• J.D. from an accredited law school and active bar membership.
• 6+ years of legal experience with a mix of general commercial and FED/SLED contracting work.
• Experience with K-12 and higher education sector is a plus.
• Experience negotiating SaaS, hardware, subscription, and other technology commercial agreements; familiarity with CLM tools a plus.
• Working knowledge of FAR/DFARS, GSA Schedules, and Trade Agreements Act/Buy American Act compliance.
• Excellent drafting, negotiation, and communication skills.
• Service-oriented, detail-oriented, and able to work independently in a fast-paced environment.

Responsibilities

• Provide strategic guidance and counsel across the public sector landscape.
• Draft, review, and negotiate a wide range of agreements with federal, state, and local government customers and prime contractors.
• Identify compliance requirements for a particular area of coverage and drive compliance with FAR/DFARS and agency-specific requirements.
• Provide contract lifecycle counsel across the public sector business, including RFP/bid response, contract administration, and government contracting compliance obligations.
• Partner cross-functionally with sales, product, engineering, finance, supply chain, and compliance teams to structure and close deals.
• Provide training and develop resources for legal and cross-functional teams.
• Draft, review, and negotiate a wide range of commercial agreements, including SaaS, hardware, lease, and subscription agreements.
• Advise on FAR/DFARS and other US, state, and local government-specific laws and regulations.
• Identify, escalation, and help resolve contractual and compliance risks in partnership with legal leadership.
• Contribute to the evolution of Evolv's contracting templates, playbooks, and tools as the business scales.
• Counsel product and supply chain teams on compliance and contract requirements relevant to their areas of responsibility.
• Communicate relevant updates to legal colleagues and proactively inform the legal team on public sector initiatives that may be relevant to their practice areas.
• Other general commercial and legal matters, as needed.
