Job summary

Evolv Technology is seeking a Senior Corporate Counsel to build the FED/SLED function and support commercial deals. The role reports into the legal team with exposure to sales, compliance and leadership, focused on public sector contracting and scalable processes.

The position is HQ-based in Waltham, MA with remote work two days per week and consideration for DC-area candidates. Base salary ranges from $174,000 to $254,000 plus bonus/equity and comprehensive benefits.

Qualifications

• J.D. from an accredited law school and active bar membership.
• 6+ years of legal experience, in-house or at a law firm.
• Experience with FED/SLED contracting and public sector sales.
• Experience negotiating SaaS, hardware, and subscription agreements.
• Familiarity with CLM tools (Ironclad, Salesforce) a plus.
• Knowledge of FAR/DFARS and Buy American Act compliance.

Responsibilities

• Provide strategic guidance on public sector contracting and regulatory requirements.
• Draft, review, and negotiate federal, state, and local government contracts and prime agreements.
• Identify and drive compliance with FAR/DFARS and agency-specific requirements.
• Provide contract lifecycle counsel from RFP/bid responses to contract administration.
• Partner with sales, product, engineering, finance, supply chain, and compliance teams.
• Provide training and develop resources for legal and cross-functional teams.
• Draft and negotiate commercial agreements including SaaS, hardware, lease, and subscriptions.
• Counsel on compliance for government contracting in relevant laws.
• Elevate and resolve contractual/compliance risks with legal leadership.
• Contribute to evolving contracting templates and playbooks.
• Advise product and supply chain on related contract requirements.
• Communicate updates to legal colleagues and provide necessary training.
• Handle other general commercial and legal matters as needed.
