Evolv Technology is seeking a Senior Corporate Counsel to build the FED/SLED and commercial contracting function from the ground up, partnering with sales, compliance, and leadership to scale public sector contracting and operations.

The role focuses on FAR/DFARS exposure, government contracts, and cross-functional deal structuring, with Washington DC and remote work options and a competitive compensation package.

Qualifications

• J.D. from an accredited law school and active bar membership in good standing.
• 6+ years of legal experience, in-house or at a law firm, with a mix of general commercial and FED/SLED contracting work.
• Experience working with K-12 and higher education sector a plus.
• Experience negotiating SaaS, hardware, subscription, and other technology commercial agreements; familiarity with CLM tools (e.g., Ironclad, Salesforce) a plus.
• Working knowledge of government contracting fundamentals (FAR/DFARS, GSA Schedules) and Trade Agreements Act/Buy American Act compliance.
• Excellent drafting, negotiation, and communication skills.
• Service-oriented, detail-oriented, and comfortable working independently in a fast-paced, mission-driven environment.

Responsibilities

• Provide strategic guidance and counsel across the public sector landscape for FED/SLED contracts.
• Draft, review, and negotiate federal, state, local government contracts and prime contractor agreements.
• Identify and drive compliance with FAR/DFARS and agency requirements.
• Provide contract lifecycle counsel including RFP/bid response and contract administration.
• Partner with sales, product, engineering, finance, and compliance to structure and close deals.
• Provide training and develop resources for legal and cross-functional teams.
• Draft, review, and negotiate commercial agreements including SaaS, hardware, lease, and subscriptions.
• Advise on government-specific laws and compliance obligations.
• Identify and help resolve contractual and compliance risks with legal leadership.
• Contribute to evolving templates, playbooks, and tools for scalable contracting.
• Counsel product and supply chain on applicable contract requirements.
