Job summary

SourcePro Search, LLC seeks a Senior Paralegal – General Practice in New York, NY to support attorneys on complex corporate matters across the deal lifecycle. You will assist with M&A, financing rounds, public offerings, and entity matters, while mentoring junior paralegals and ensuring data protection.

Qualifications

• Requires 5+ years paralegal experience in a law firm or in-house setting.
• Thorough understanding of the corporate transaction process from start to finish.
• Bachelor’s degree is required.
• Strong organizational skills and meticulous attention to detail are essential.
• Excellent interpersonal and communication skills with a client-focused mindset.
• Ability to manage confidential and sensitive information professionally.
• Experience mentoring or collaborating with junior paralegals is valued.
• Proficient with Microsoft Office, Westlaw, Intelligize, Bloomberg Law, and Adobe.
• New York State Notary Public license preferred with leadership experience.

Responsibilities

• Provide high-level paralegal support to attorneys on complex corporate matters.
• Support the full lifecycle of corporate transactions including M&A, financings, and public offerings.
• Assist with formation, maintenance, and dissolution of entities (corporations, LLCs, LPs).
• Draft, prepare, and file registration statements and other SEC filings.
• Conduct EDGAR and UCC searches and order good standing certificates.
• Assist with governance documentation and due diligence reviews.
