SourcePro Search, LLC is seeking a Senior Corporate Paralegal in Denver, CO who brings a bachelor’s degree and at least five years of hands-on experience with Private Equity, Capital Markets, and M&A matters. The role requires flexibility for overtime to support deal activity and deadlines.

The candidate will support general corporate maintenance and complex transactions for private and public company clients, operating independently under attorney supervision.

Qualifications

• Bachelor's degree required.
• 5+ years of transactional experience in Private Equity, Capital Markets, and M&A.
• Previous law firm experience preferred.
• Overtime availability to support deadlines.
• Familiarity with equity tracking systems (Carta/Shareworks) is a plus.

Responsabilités

• Assist in formation, maintenance, and dissolution of corporate entities and prepare related documents.
• Coordinate closings and prepare related documents.
• Prepare legal opinions and assemble back-up materials.
• Draft and file corporate and securities filings.
• Organize corporate records and conduct due diligence reviews.
• Prepare stock certificates and maintain capitalization tables and option records.
• Research Blue Sky issues and prepare required filings.
• Provide training to junior staff.
• Perform other tasks as assigned or required.
