Qualifications

• Bachelor's degree is required.
• 5+ years of transactional experience in private equity, capital markets, and M&A is preferred.
• Excellent written and verbal communication skills.
• Strong attention to detail and ability to manage multiple priorities.
• Excellent organizational and time-management skills.
• Ability to maintain confidentiality and handle sensitive information with discretion.
• Strong interpersonal skills and the ability to build effective relationships.
• Proficiency with Microsoft Office, with advanced Excel skills preferred.
• Familiarity with Carta, Shareworks, or similar equity-tracking platforms is an advantage.
• Previous law firm experience is preferred.
• Flexibility to work overtime as required.

Responsibilities

• Assist with formation, maintenance, and dissolution of corporate entities and prepare related documents.
• Coordinate transaction closings and prepare supporting documentation.
• Prepare legal opinions and assemble materials.
• Draft and file corporate and securities documents.
• Organize corporate records and conduct due diligence reviews.
• Prepare stock certificates and maintain capitalization tables and stock option records.
• Research Blue Sky requirements and prepare related filings.
• Train case assistants and junior paralegals.
• Perform additional duties and support legal projects as needed.
