Qualifications

• Bachelor’s degree required; Paralegal certification preferred.
• Minimum 3–5 years of experience as a corporate paralegal with focus on ECVC, M&A, private equity, and securities.
• Familiarity with Blue Sky compliance, UCC filings, and SEC reporting.

Responsibilities

• Support attorneys in complex transactional matters including M&A, private equity, venture capital, and securities.
• Assist with due diligence, drafting and filing corporate documents, and maintaining corporate records.
• Liaise with clients and third parties; manage closing logistics and documents.
• Maintain closing checklists; assist with closing volumes through tools like Litera.
• Prepare HSR, FINRA, SEC filings and Blue Sky/securities filings as needed.
• Manage corporate records: boards, officers, minutes, and resolutions.
• Research regulatory matters using Westlaw/LexisNexis.
