The Goodkind Group, LLC seeks a Senior Corporate Paralegal to support a leading international law firm in New York, NY. The ideal candidate has extensive corporate transactional experience and thrives in a fast-paced, deadline-driven environment.

Responsibilities cover complex matters, full deal lifecycle support including M&A, financings, and offerings, and management of corporate entities. Strong communication and confidentiality are essential, with NY Notary preferred.

Qualifications

• 5+ years of law firm or in-house paralegal experience.
• Strong corporate transaction knowledge, organizational skills, and attention to detail.
• Excellent communication, judgment, and confidentiality.
• NY Notary Public commission preferred and leadership experience.

Responsabilités

• Provide advanced paralegal support to attorneys on complex corporate matters.
• Support transactions throughout the full deal lifecycle, including mergers and acquisitions, capital financings, and public offerings.
• Assist with formation, maintenance, and dissolution of corporations, LLCs, partnerships, and other business entities.
• Prepare, coordinate, and assist with SEC registration statements and related filings.
• Conduct EDGAR and UCC searches, coordinate good standing certificate requests, maintain governance records, support due diligence reviews, and prepare stock certificates.
• Assist with departmental administrative responsibilities and special projects.
• Collaborate with and provide guidance to junior paralegals as needed.
