Job summary

Johnson Controls seeks an experienced M&A Counsel to support global merger and acquisition activities. You will advise senior leadership and the Strategy and Acquisition Office on deal structuring, documentation, and risk assessment for transactions including divestitures, joint ventures, and equity investments.

The role requires 10+ years of experience, a law degree, and bar admission in the US, with preference for in-house exposure at a large multinational.

Qualifications

• Law degree and US state bar admission.
• 10+ years of legal experience.
• Substantial M&A transactional experience at a large law firm.
• In-house experience with a multinational publicly traded company preferred.
• Knowledge of antitrust/competition law.
• Venture capital experience a plus.
• Located in Milwaukee, WI or Washington, DC area.

Responsibilities

• Lead multiple, complex M&A transactions in a fast-paced environment.
• Advise on deal structure and documentation.
• Draft and/or review transaction documents with external counsel.
• Lead negotiations spanning multiple jurisdictions.
• Manage external legal expenses and report deal status to management.
• Work independently and be proactive; collaborate with internal and external counsel.
• Translate legal terms into identifiable business risks and provide risk-balanced recommendations.
• Communicate professionally and clearly with executives and clients.
